How do you go about making your decisions for elections of corporate directors?

I usually find the election of directors to be the most head-scratching part of preparing proxies to vote corporate shares.  The proxy information that the company sends usually contains a short biography of each director up for election and (if the director is already an incumbent) some indication of that person's ownership of the company's equity.  While these informations are helpful I usually feel that I still do not have enough information about each director up for election to decide for each director whether I should vote an affirmative, a negative, or withhold the vote.

 

How do you go about making your decisions for elections of directors?  What sources of information do you use to come to your decisions?

Two great sources of information are MoxyVote.com and ProxyDemocracy.org. Those sites can tell you how other respected shareowners have voted and you can also pull up your company's proxy (Poxy Solicitation Filing (DEF14A)) at MoxyVote.com.

Another resource is the United States Proxy Exchange.  They have a useful online publication, Shareowner Guidelines for Say-On-Pay Voting. The Guidelines at help you determine how to vote on compensation packages. (I generally vote pay packages where the company paid more than the median last year. This keeps pay from ratcheting up every year. Do CEOs really need more than $11 million a year?! If you vote against the pay package, the Guidelines recommend you also vote against all members of the compensation committee that recommended the pay package. Go to the Index of the DEF14A (find your company on MoxyVote) and you can usually find a link to the Compensation Committee Report. There you can find the names of the compensation committee.
